1. DEFINITIONS

In these Terms and Conditions:

  • “BORDERFLEX” means BORDERFLEX FREIGHT & LOGISTICS LIMITED, its employees, agents, and subcontractors.
  • “Client” means the person or entity requesting services from BORDERFLEX.
  • “Services” means any logistics, freight forwarding, customs clearance, or related services provided by BORDERFLEX.
  • “Goods” means the cargo, merchandise, or items entrusted to BORDERFLEX for handling, transport, or processing.

2. APPLICATION

2.1 These Terms and Conditions shall apply to all services provided by BORDERFLEX and shall prevail over any other documentation or communication from the Client.

2.2 Any variation to these Terms and Conditions must be agreed in writing by BORDERFLEX.

3. SERVICES

3.1 BORDERFLEX shall provide the Services with reasonable care, skill, and diligence.

3.2 BORDERFLEX reserves the right to refuse to accept any Goods for any reason whatsoever.

3.3 BORDERFLEX may engage subcontractors to perform any of the Services without prior notice to the Client.

4. CLIENT RESPONSIBILITIES

4.1 The Client shall: a) Provide accurate and complete information regarding the Goods and their requirements; b) Ensure all Goods are properly and sufficiently prepared, packed, and labeled; c) Comply with all applicable laws, regulations, and requirements; d) Not tender any dangerous, hazardous, or noxious Goods without prior written consent from BORDERFLEX; e) Pay all duties, taxes, fees, or other charges in relation to the Goods.

4.2 The Client warrants that they are either the owner of the Goods or the authorized agent of the owner.

5. QUOTATIONS AND CHARGES

5.1 Quotations are valid for 30 days from the date of issue unless otherwise specified.

5.2 All charges are exclusive of applicable taxes unless otherwise stated.

5.3 Additional charges may apply for services not specifically included in the quotation or for circumstances beyond BORDERFLEX’s control.

5.4 BORDERFLEX reserves the right to revise quotations if: a) The information provided by the Client proves to be incomplete or incorrect; b) There are unforeseen circumstances affecting the provision of Services; c) There are changes in applicable regulations, duties, or taxes.

6. PAYMENT TERMS

6.1 Payment shall be made within 30 days from the date of invoice unless otherwise agreed in writing.

6.2 BORDERFLEX reserves the right to charge interest on overdue amounts at 2% per month.

6.3 The Client shall not be entitled to withhold payment or make deductions or set-offs without prior written agreement from BORDERFLEX.

6.4 BORDERFLEX shall have a general lien on all Goods and documents relating to Goods for all sums due at any time from the Client.

7. LIABILITY AND LIMITATIONS

7.1 BORDERFLEX’s liability shall be limited to: a) In case of loss or damage to Goods: the lesser of the cost of repair or replacement, not exceeding the value declared by the Client or the actual value of the Goods if no value was declared; b) In case of delay: the amount of charges for the specific delayed shipment; c) For any other claims: the total charges paid for the specific shipment giving rise to the claim.

7.2 In no event shall BORDERFLEX be liable for: a) Special, indirect, or consequential losses; b) Loss of profit, business, contracts, revenue, or anticipated savings; c) Claims made more than 14 days after delivery of the Goods or the date on which the Goods should have been delivered; d) Losses resulting from the Client’s failure to fulfill their responsibilities.

7.3 The limitations of liability in these Terms and Conditions shall apply to all claims against BORDERFLEX whether such claims are founded in contract, tort, negligence, or otherwise.

8. INSURANCE

8.1 BORDERFLEX does not automatically provide insurance for Goods.

8.2 The Client may request BORDERFLEX to arrange insurance on their behalf, which shall be subject to the terms, conditions, and exclusions of the insurance policy.

9. FORCE MAJEURE

9.1 BORDERFLEX shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, war, terrorism, riots, civil commotion, government actions, strikes, lockouts, or other labor disputes.

10. GOVERNING LAW AND JURISDICTION

10.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of [Jurisdiction].

10.2 Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].

11. SEVERABILITY

11.1 If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall continue to be binding.

12. ENTIRE AGREEMENT

12.1 These Terms and Conditions constitute the entire agreement between BORDERFLEX and the Client and supersede all prior agreements, understandings, or arrangements.

13. MODIFICATIONS

13.1 BORDERFLEX reserves the right to modify these Terms and Conditions at any time. The current version shall be available on BORDERFLEX’s website.

14. NOTICES

14.1 All notices shall be in writing and delivered to the address provided by each party.

15. DATA PROTECTION

15.1 BORDERFLEX shall process personal data in accordance with applicable data protection laws.

15.2 By engaging BORDERFLEX’s services, the Client consents to the collection, processing, and sharing of information as necessary for the provision of Services.

16. CONFIDENTIALITY

16.1 Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of business.
